Privacy Policy
The following General Terms and Conditions of Sale (“GTC”) govern all purchases, deliveries, and services provided by Solarlogic (“Solarlogic”). Our offerings include premium products in the areas of heating systems, thermal technology, building technology, climate solutions, and other categories, made available through the platform shop.solarlogic.de (the “Platform”). The Platform is operated by Solalogic (“Solarlogic Digital”). By accessing the Platform and placing orders, you (“the Customer”) agree to these GTC. For clarity, these GTC refer to Solarlogic and the Customer collectively as “Parties” and individually as “Party.”
- Scope of Application | Orders | Customer Eligibility
1.1. These GTC apply to all purchase contracts between you and Solarlogic. Any contrary, additional, or deviating terms proposed by you will not become part of the contract unless expressly agreed upon in writing by Solarlogic.
1.2. When you place an order through the Platform, you will be asked to accept these GTC. By submitting your order, you confirm your agreement to these GTC. This applies whether or not you have registered on the Platform.
1.3. Purchase contracts may only be concluded with individuals who are at least 18 years old and fully legally competent. Both consumers and businesses are eligible to enter into purchase agreements.
1.4. If acting on behalf of a legal entity, you confirm that you are authorized to represent the entity.
- Contract Formation
2.1. All offers from Solarlogic are non-binding. A purchase agreement is formed only when you receive an order confirmation sent by Solarlogic on behalf of Solarlogic.
2.2. Any acknowledgment of receipt sent after completing the ordering process serves informational purposes only and does not constitute an order confirmation.
2.3. The content of the purchase contract is defined exclusively by the order confirmation and these GTC. Verbal agreements or assurances require written confirmation from Solarlogic to be effective.
- Pricing | Invoicing | Payment Terms
3.1. Payment methods are as listed under “Payment Methods” on Solarlogic.de. Solarlogic reserves the right to restrict payment options for individual orders. Payments are only accepted from accounts within the European Union (EU), and you are responsible for any transaction costs incurred.
3.2. Invoices and credit notes will be provided electronically. Payments should be made to the account specified by Solarlogic, which is authorized to receive payments on behalf of Solarlogic.
3.3. Prices are quoted ex-works, excluding VAT, customs duties, and non-standard packaging, unless otherwise stated.
3.4. Payments are considered complete only when Solarlogic has access to all the funds.
- Delivery Times | Force Majeure
4.1. Delivery deadlines are binding only if explicitly confirmed by Solarlogic via email.
4.2. Delivery times commence from the date of the order confirmation and are subject to the timely provision of all necessary information and documentation.
4.3. Events of force majeure, such as natural disasters, government actions, or labour disputes, exempt Solarlogic from its delivery obligations for the duration of the disruption. Should the disruption exceed three months, either Party may withdraw from the contract.
- Shipping | Risk Transfer
5.1. Goods are shipped using an appropriate method of delivery in standard packaging unless otherwise agreed during the ordering process.
5.2. Risk passes to the Customer upon delivery of the goods.
- Warranty and Inspection Obligations
6.1. Solarlogic warrants that the goods comply with the agreed specifications at the time of delivery. Any other descriptions, such as those in catalogs or brochures, are non-binding and do not constitute warranties.
6.2. For business customers, warranty claims require timely inspection and written notification of defects within two (2) weeks of delivery. Hidden defects must be reported immediately upon discovery.
- Liability and Limitations
7.1. Solarlogic’s liability is governed by statutory provisions, except as limited in this section.
7.2. Liability for damages is limited to foreseeable, contract-typical damages in cases of slight negligence.
7.3. These limitations do not apply in cases of intentional or gross negligence, injury to life or health, or where mandatory statutory liability applies.
- Retention of Title
8.1. Ownership of delivered goods remains with Solarlogic until full payment of all outstanding amounts.
8.2. Goods may not be pledged or transferred as collateral without prior written consent from Solarlogic.
- Right of Withdrawal (Consumers Only)
Consumers have a statutory right of withdrawal as outlined in the Right of Withdrawal Policy. Exceptions to this right are specified within the policy.
- Miscellaneous
10.1. Amendments to these GTC or the contract must be made in writing to be effective. This also applies to changes to the written form requirement.
10.2. German law applies exclusively to the agreement, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
10.3. Should any provision of these GTC be or become invalid, the validity of the remaining provisions remains unaffected.
